This Supplier Code of Conduct (Code) is applicable to all
suppliers (refer section 1.2 for extensional definition of
“suppliers”) of Farouk Maamoun Mohammed Said Tamer
Industries Holding Co. Ltd and its Subsidiaries. This Code
outlines the essential moral standards and business
behaviour expectations that Tamer Group has from its
suppliers. This Code is meant to provide a high-level
overview of those essential standards, rather than a
comprehensive list of all the requirements, that the
Supplier must adhere to. For clarification purpose, the
Subsidiaries of the Holding Company includes the
following entities and any other entity which is legally
considered as a subsidiary of the Holding Company:
Farouk Maamoun Tamer & Co. (“FMT”)
Arabian Medical and Pharmaceutical Company. (“AMPC”)
Tamer Arabia Trading Company. (“TATC”)
Mohammed Said Tamer Logistics Services Company. (“Tamer Logistics”)
Mohammed Said Tamer Services Company. (“TSC”)
Future Pioneer Trading Co. (“VitaCare”)
Tamer Solutions Trading Company. (“Tamer Solutions”) and its subsidiaries
Holding Company and Subsidiaries are hereinafter collectively referred to as
“Tamer Group” or the “Group”. This Supplier Code of conduct applies to the
Holding Company and Subsidiaries.

Dear Suppliers,
Our Supplier Code of Conduct (Code) sets out the standards of responsible
behaviours we expect from our suppliers to follow in business dealings with Tamer
Group.
Responsible conduct is not new to Tamer Group. Acting responsibly has been
instrumental in building our reputation as a trusted business partner. However, we
operate in an increasingly challenging environment, which combined with our
scale, exposes us to ever higher levels of scrutiny.
It has therefore never been more important to ensure all our activities are
conducted with the utmost integrity.
Our Code is essential to our long-term sustainability. Your commitment to the
standards set out in this Code is critical to demonstrate your acknowledgement to
the way we conduct our business by respecting our values of respect, integrity,
diversity, commitment, collaboration, entrepreneurship and passion to learn and to
achieve our mission and continue to support our vision.
This Code brings a number of our long-standing practices and policies together in
one place. It is incumbent on you, as a supplier to the Tamer Group, to read the
Code thoroughly to ensure you clearly understand what is expected from you and
adhere to the behaviour outlined in this code.

1. Introduction
1.1 Why does Tamer Group have a Supplier Code of Conduct?
Since its founding, Tamer Group business practices have been governed by
integrity, honesty, fair dealing and full compliance with all applicable laws.
This Code stipulates and guides to ensure continued demonstration of our
business values, achievement of our mission and dedication to our corporate
vision by setting up non-negotiable minimum standards of behaviour in doing
business with our suppliers. This Code is a set of standards for ethical and legal
business practices by which we require and expect our suppliers to adhere to
when conducting any business activities with us or on our behalf.
1.2 Who does the Code apply to?
The principles, and guidelines in this Code should be followed by all existing and
potential third-party manufacturers, vendors, distributors, agents, third party
intermediaries, representatives, contractors, sub-contractors and other
business partners (collectively referred to as “suppliers”) and their employees
and anyone else who represents such suppliers and are registered with the
Tamer Group, without any exception, regard or reverence to the title,
position, and, nature and length of relationship to the Group.
In the case where Tamer Group and a supplier mutually agree to abide by
and adhere to a set of ethical principles and guidelines which is
recommended by the supplier, the recommended set of principles and
guidelines must be consistent with the principles and guidelines of this Code
and shall be applicable to the business relationship between Tamer Group
and the respective supplier.
1.3 How to use the Code?
This Code is not meant to cover all possible conditions that may occur. The Code
serves as a reference against which to evaluate business activities and
decisions. Suppliers should seek guidance, if needed, about the proper
course of action in each situation, as it is also their responsibility to “do the
right thing”, a responsibility that cannot be delegated.
All suppliers should always be guided by the following basic principles:

act legally, honestly and in line with the Tamer Group Code, policies,
procedures, and guidelines applicable to suppliers based on the nature of
suppliers’ relationship with the Group; and
avoid any conduct that could damage Tamer Group’s reputation.
All suppliers must self-monitor their compliance with our Supplier Code of Conduct.
Additionally, if Tamer Group identifies or believes that at any time a supplier
has violated the Code, Tamer Group has the right to suspend and/or cease
our business relationship with such supplier, in each case without notice and
without liability or obligation of any sort accruing to Tamer Group.
In addition, this Code entails Tamer Group’s expectations and requirements with
respect to its suppliers and are not subject to waiver. This Code should not be
read in lieu of, but in addition, to any supplier obligations set forth in:
a) Request for Proposals, Invitations to Bid, or other contractual documents;
or
b) Agreements by and between Tamer Group and the supplier.
Tamer Group or its suppliers, nor representatives are authorized to propose or
approve conduct inconsistent with this Code.
1.4 How to raise a concern?
Any behaviour, that suppliers or their employees, in good faith, believe to be
a real, apparent, or possible breach of the provisions of this Code are urged
to report to Tamer Group on a confidential basis to Tamer Group Ethics
Committee by:

Everyone will benefit from prompt reporting of misbehaviour, which also
contributes to our ongoing business relationship. Tamer Group shall protect
confidentiality to the maximum extent possible and will not permit any
actions to be taken in retaliation against anybody who has reported
questionable behaviour or a potential violation in good faith.
1.5 Zero Tolerance for retaliation
Tamer Group prohibits retaliation against suppliers or its employees for such
reports made in good faith, while it also protects the rights of the incriminated
person.

Part 01: Compliance with laws, rules and regulations
Suppliers must respect and abide by the law at all times
Tamer Group always ensures to comply with all applicable laws and
regulations in all locations of our business.
Tamer Group expects its suppliers to abide by the applicable laws and
regulations including obtaining mandated trade, economic and other
regulatory licenses and approvals in relation to supplying goods and services
to Tamer Group.
Part 02: Antitrust and Fair Dealing
Suppliers must demonstrate adherence to the principles of free
competition
Tamer Group aims to be a successful business without violating any antitrust,
competition and fair dealing laws. Thus, our suppliers must be certain that
they conduct business in compliance with all applicable anti- trust laws and
regulations and in line with fair market competition standards and practices.
Part 03: Bribery and Corruption
Suppliers must not engage in any act of bribery and corruption.
A zero-tolerance approach towards bribery and corrupt practices is
embedded in Tamer Group operations. Therefore, the Group’s suppliers
should work against bribery and corruption. Suppliers must comply strictly with
all applicable anti-corruption laws and regulations and must not offer or
accept bribes, facilitation payments or other incentives to or from third
parties including entities or individuals to take advantage of anything related
to work or business under consideration with Tamer Group.

Our suppliers or their employees must not be involved in any activity or
relationship that may cause a conflict with the interest of Tamer Group whilst
conducting business with the Group. In addition, suppliers or their employees
should not enter into any transaction or establish relation with any third party
that will be detrimental to the interest of the Group . In case, if any supplier or
its employee is in a position which could be considered an actual, potential
or perceived conflict of interest that may undermine business relationship or
impact the reputation of Tamer Group, they must immediately disclose such
conflict of interest matter to Tamer Group in writing.
Part 05: Gifts and Entertainment
Suppliers must engage in business based on quality and competition.
Suppliers should avoid giving gifts to Tamer Group’s directors, officers,
employees, authorized agents, and representatives. Suppliers may not offer
or provide anything of value to obtain or retain a benefit or advantage and
might appear to influence, compromise judgment, or obligate Tamer Group’s
directors, officers, and employees. Any gifts, meals, or entertainment must
comply with applicable laws and regulations, contractual commitments,
must not violate Tamer’s policies on the matter, must be consistent with local
custom and practice and do not create the impression of inappropriately
influencing the respective business relationship.
Part 06: Responsible Sourcing
Tamer Group only does business with trustworthy third parties who have a
reputation for conducting their business affairs in a professional and ethical
manner
We are proud of our reputation for managing professional relationships with
our suppliers in a mutually supportive, open, and collaborative way based on
impartial decision-making through use of objective criteria such as suitability
of product or service and price, quality, performance, trustworthiness, and
reliability. Thus, we encourage our suppliers to adopt the same commitment
across their business operations and other engagements.
Part 07: Fair Employment Practices

Suppliers must support fair employment by embracing diversity,
respecting the personal dignity of employees, and abiding by local
and international guidelines to prevent any form of illegal or
compulsory labor.
Suppliers must adopt fair employment practices in compliance with all
applicable laws and regulations, including those for wages, working hours
and benefits. Additionally, suppliers must not engage in or tolerate any form
of discrimination, exploitation and harassment or the use of disciplinary
practices of a physical or mental nature including respecting the personal
dignity, privacy and personal rights of their employees.
Suppliers must not engage in the use of child labor, human trafficking, illegal
or forced labor. Tamer Group prohibits the use of any form of compulsory
labor or unethical employment practices, and we expect our suppliers to
follow the same guidelines.
Part 08: Healthy and Safe Working Environment
Suppliers must act in a manner that promotes a healthy and safe
working environment including employee well-being.
Suppliers must comply with applicable local laws and regulations, and Tamer
Group’s policies / standards on business dealings including health and safety
requirements. Suppliers are obligated to establish and implement rules and
regulations that safeguard the environment, human health, and ensure
safety for all. Supplier shall limit the incidence of work-related injury and illness
through eliminating or reducing worker exposure to potential health and
safety hazards through safe systems and work practices.
Part 09: Confidential Information
Suppliers must value and protect Tamer Group’s confidential
information and respect the confidential information of third parties
Confidential information consists of any information that has not yet turned
into public information. It includes trade secrets, business, marketing and
service plans, consumer insights, manufacturing ideas, databases, records,
salary information and any non-published financial or other data. Suppliers

must put in place administrative, technical, and physical security measures to
to protect all personal data, confidential assets, and information in order to
ensure that the privacy and intellectual property rights of the stakeholders are
properly safeguarded as stipulated by all relevant laws and regulations.
Tamer Group respects that suppliers have a similar interest in protecting their
confidential information. ln case, that they share confidential information with
Tamer Group, such information shall be treated with the same care as if it was
Tamer Group’s confidential information. Similarly, we shall protect confidential
information that we have obtained during the course of our business
relationship with suppliers.
Part 10: High Standards of Goods and Services
Suppliers must comply with and maintain quality and service standards
Suppliers must ensure that they have the necessary procedures and systems
in place to ensure that the goods and services they supply to Tamer Group
are of a high quality, and adhere to applicable safety requirements. In
addition, suppliers need to develop and implement business continuity
strategies that cover issues like emergencies, natural disasters, and other
unexpected business interruptions. These procedures and systems should be
documented and regularly reviewed to ensure they are effective and up to
date. The supplier should also have an effective structure in place to monitor
and improve their quality management system so as to ensure its continual
effectiveness.
Part 11: Fraud Prevention and Protection of Assets
Suppliers must implement adequate system and processes for
prevention of fraud and protection of assets
Suppliers must never engage in fraudulent or any other dishonest conduct
involving the property or assets of Tamer Group or any third party. In addition,
suppliers must maintain appropriate financial and operational records and
comply with applicable regulatory and contractual disclosure requirements.
Tamer Group’s property shall be protected from loss, damage, misuse, theft,
fraud, embezzlement and destruction. These obligations cover both tangible

and intangible assets, including trademarks, know-how, confidential or
proprietary information and information systems.
In case there is a serious allegation of fraud by / on any of our suppliers,
necessary steps will be taken including cooperation with the appropriate
agency in any investigation. Suppliers are required to cooperate with Tamer
Group in any inquiries or investigations to past, current, or potential instances
of unethical or fraudulent behavior related to any Tamer Group’s business
activities.
Tamer Group will immediately act on instances of proven fraud which
includes termination of the contract or service with the supplier, where
necessary.

SUPPLIER UNDERTAKING AND ACKNOWLEDGEMENT
Supplier Screening Process
Tamer Group seeks to onboard suppliers who shall support in achieving
objectives of reliable supply chain and sustainable growth. New Suppliers will
be screened on predefined supplier evaluation and screening criteria.
Suppliers are required to comply with necessary requirements and provide
relevant information to support supplier screening process.
Supplier Assessment
By agreeing to work for or with Tamer Group, suppliers commit to abide by
our Suppliers Code of Conduct. We reserve the right to conduct periodic
and/or surprise audits and assessments to verify their compliance with this
Code.
Supplier Certification
Tamer Group expects that its suppliers will keep a vigilant eye on the
potential for breaches of standards and specifications in their operations and
supply chains, including through third-party certifications relating to
regulatory, operational, human rights, social and labor, health and safety,
and environmental management requirements.
Supplier Training & Competency
All suppliers of Tamer Group must ensure that relevant employees of their
company understand the requirements of the Supplier Code of Conduct.
They must educate them through continuous training programs to achieve
an appropriate level of knowledge and skills needed to address our
expectations.

Suppliers or their employees must notify Tamer Group when they become
aware of any actual, or potential violation of our Supplier Code of Conduct
and communicate the plans to correct and remedy such violation.
